Terms of Service

HelmarOps is an AI-powered business operations platform designed for home service companies and small businesses. The Service includes, but is not limited to: customer relationship management (CRM), AI voice agents and receptionists, invoicing and payment processing, scheduling and booking, email and SMS marketing, review management, client portals, AI-generated proposals and estimates, document processing, and workflow automation.

The specific features available to you depend on your subscription plan. We reserve the right to modify, add, or discontinue features at any time with reasonable notice.

• You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business.
• Each business should maintain one account. Multiple accounts for the same business are not permitted without prior written consent.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• If you invite team members to your account, you are responsible for their actions and compliance with these Terms.
• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You must notify us immediately at support@helmarops.com if you become aware of any unauthorized access to your account.

• Subscription plans: The Service is offered on a monthly subscription basis. Plan details, features, and pricing are described on our Pricing page.
• Billing begins immediately: There is no free trial. Your payment method is charged for the first billing cycle at sign-up.
• Auto-renewal: Subscriptions automatically renew each billing cycle. You authorize us to charge your payment method on file for the recurring subscription fee. Cancel anytime from the billing portal.
• Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.
• No refunds: We do not provide refunds for partial months or unused portions of a subscription period. If you cancel mid-cycle, you will not be charged for the next cycle, but no refund will be issued for the current cycle.
• Price changes:We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.
• Usage-based charges:Certain features (e.g., AI voice minutes beyond your plan's included allocation) may incur additional usage-based charges as described on the Pricing page.

You agree not to use the Service to:

• Engage in any activity that violates applicable local, state, national, or international law or regulation.
• Send unsolicited commercial communications (spam) in violation of applicable anti-spam laws, including the CAN-SPAM Act and TCPA.
• Abuse, exploit, or misuse AI features, including attempting to generate harmful, misleading, defamatory, or illegal content.
• Scrape, crawl, or use automated means to extract data from the Service beyond what is provided through our API.
• Resell, redistribute, or sublicense the Service or any part thereof without a separate written agreement with HelmarOps.
• Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.
• Upload or transmit viruses, malware, or any other malicious code.
• Interfere with or disrupt the integrity or performance of the Service.
• Impersonate any person or entity or falsely represent your affiliation with any person or entity.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

• Your data:You retain all ownership rights to the business data, customer information, documents, and other content you upload or input into the Service ("Your Data"). HelmarOps does not claim ownership of Your Data.
• License to process: By using the Service, you grant HelmarOps a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Data solely as necessary to provide the Service and as described in our Privacy Policy.
• Aggregated data: We may use anonymized, aggregated data derived from Your Data for analytics, benchmarking, and improving the Service. Such aggregated data will not identify you or any individual.
• Data export:You may export Your Data at any time through the Service's export functionality or by contacting support.

The Service includes AI-powered features that generate content, including but not limited to estimates, proposals, email drafts, call summaries, and business recommendations.

• Not professional advice: AI-generated outputs are provided as suggestions and informational aids only. They do not constitute legal, financial, medical, accounting, or other professional advice. You should consult qualified professionals for matters requiring professional judgment.
• Accuracy: While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or incomplete information. You are responsible for reviewing and verifying all AI-generated content before relying on it or sharing it with your customers.
• Your responsibility: You are solely responsible for any decisions made or actions taken based on AI-generated content provided through the Service.

We use commercially reasonable efforts to maintain the availability and performance of the Service. However:

• We do not guarantee uninterrupted or error-free operation of the Service.
• The Service may be temporarily unavailable due to scheduled maintenance (which we will attempt to perform during low-usage periods), emergency maintenance, or circumstances beyond our reasonable control.
• No service level agreement (SLA) with guaranteed uptime is provided for free-tier accounts. Paid plans may include SLA terms as specified in your subscription agreement.
• We will make reasonable efforts to notify you in advance of planned maintenance that may affect the availability of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• IN NO EVENT SHALL HELMAROPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless HelmarOps and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; or (d) any content you upload, transmit, or otherwise make available through the Service.

• By you: You may terminate your account at any time by canceling your subscription and requesting account deletion through your account settings or by contacting support.
• By us: We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice, except in cases of egregious violations where immediate termination may be warranted.
• Effect of termination: Upon termination, your right to use the Service ceases immediately. Your Data will be available for export for 30 days following termination. After 30 days, Your Data will be permanently deleted in accordance with our Privacy Policy.
• Survival: Sections relating to data ownership, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination will survive the termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect by sending a notice to the email address associated with your account and/or by posting a prominent notice on the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
